Section 01
Service Description

CXOVector is a subscription-based executive job intelligence service operated by SpinKorp LLC, a Virginia LLC ("CXOVector", "CXOVector: The Brief," "CXOV," "we," "us," or "our"). We use AI-powered matching technology to identify executive-level employment opportunities from publicly accessible, publicly indexed sources on the internet — including publicly indexed job postings, recruiter listings, company career pages, and industry job boards — and deliver them in a personalized, scored, and formatted report ("brief") on a weekly schedule.

CXOV is an information aggregation and intelligence service only. We are not, and do not represent ourselves to be, a staffing agency, employment agency, professional recruiter, headhunter, career counselor, or placement firm. We do not represent you to any employer. We do not represent any employer to you. We do not facilitate, broker, negotiate, or participate in any employment transaction. Nothing in the product constitutes a job offer, referral, endorsement, or recommendation of any employer, company, or opportunity.

In plain terms: We are a research and intelligence tool. Think of us as a well-connected research assistant who scans the market on your behalf and presents organized findings. What you do with that information — including whether and how you apply — is entirely your decision and your responsibility.
Section 02
No Employment Guarantee — Important Disclaimer
READ THIS SECTION CAREFULLY. This section limits our liability regarding employment outcomes and the quality, accuracy, and completeness of job listings in your brief.

No guarantee of employment outcomes. CXOV makes no representation, warranty, or guarantee — express or implied — that use of the service will result in job interviews, job offers, employment, or any career outcome whatsoever. Job searching is inherently uncertain. Results vary widely among users based on factors entirely outside our control, including individual qualifications, market conditions, employer hiring decisions, application quality, and timing.

No guarantee of opportunity quality. We do not guarantee that any listing in your brief is genuine, currently available, accurately described, posted by a legitimate employer, or that any compensation figure, title, location, or other detail is accurate at the time of delivery. Job listings originate from third-party sources we do not control and may become outdated, filled, removed, or modified after your brief is generated.

No guarantee of completeness. We do not guarantee that your brief contains all relevant executive opportunities available in the market during the search window. Our methodology covers publicly indexed sources but cannot access every possible opportunity, including those posted on private networks, behind authentication, or on sources not indexed by our systems.

Your sole responsibility. All employment decisions and their consequences — including decisions to apply, accept an offer, or leave current employment — are made solely by you and are your sole responsibility. CXOV shall have no liability whatsoever for any employment decision made in reliance on brief content.

Always verify independently. Before submitting any application, sharing personal information, or making any employment decision based on a listing in your brief, verify the accuracy, legitimacy, and currency of the opportunity directly with the employer or recruiter.
Section 03
Eligibility & Account

To use The Brief you must: (a) be at least 18 years of age; (b) be legally authorized to work in the United States or otherwise have a lawful purpose for using the service; (c) be capable of forming a legally binding contract; and (d) not be prohibited from using the service under any applicable law. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you will keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@cxovector.com of any unauthorized account access. We are not liable for losses from unauthorized use resulting from your failure to safeguard your credentials.

You may maintain only one account per person. Accounts are personal and non-transferable. You may not create an account on behalf of another person without their knowledge and explicit consent.

International users. CXOV is intended for residents of the United States. We make no representation that the service is appropriate, legally compliant, or available in other jurisdictions. Users outside the United States access the service at their own risk and are solely responsible for compliance with applicable local laws. We reserve the right to restrict access from any jurisdiction at any time without notice.

Section 04
Subscription, Billing & Cancellation

Free Trial. Your first two (2) briefs are provided at no charge. We require a valid payment method on file before your trial begins; your card will not be charged during the trial period. Your free trial begins when your first brief is delivered.

Automatic conversion. Following delivery of your second free brief, your account automatically converts to a paid monthly subscription at the then-current rate (currently $10.00/month). You will receive advance email notice before this conversion. By providing payment information at signup, you authorize recurring monthly charges once your free trial concludes, until cancellation.

Billing cycle — Monthly Plans. Monthly plan fees are billed on the anniversary of your conversion date in U.S. dollars. All fees are non-refundable except as expressly stated herein or required by applicable law.

Annual Plans — Prepaid and Non-Cancellable. Annual plan fees are billed as a single prepaid charge of $96.00 USD, covering twelve (12) consecutive months of service beginning on the date of your first paid charge ("Annual Period"). Annual plans are non-refundable and non-cancellable for the duration of the Annual Period. You may not cancel, downgrade, or obtain a refund for any unused portion of your Annual Period for any reason, including but not limited to dissatisfaction with the Service, changes in personal circumstances, or failure to use the Service. By selecting an annual plan and completing checkout, you expressly acknowledge and agree to this non-cancellation policy. At the conclusion of your Annual Period, your subscription will automatically convert to a month-to-month plan at the then-current monthly rate unless you cancel prior to renewal or select a new annual plan.

Plan changes. You may upgrade from a monthly plan to an annual plan at any time. Upon upgrading, a new $96.00 prepaid charge will be processed immediately and a new Annual Period will commence. You may not downgrade from an annual plan to a monthly plan during an active Annual Period.

Price changes. We may change subscription pricing at any time with at least thirty (30) days' advance written notice to your registered email. Continued use after the effective date constitutes acceptance. If you do not accept the new price, cancel before the effective date.

Promotional codes and discounts. We may offer promotional codes, discount codes, or other offers that reduce the price of the Service for a limited time or for a specified number of billing periods. Promotional codes are single-use, non-transferable, and may not be combined with other offers unless expressly stated. We reserve the right to discontinue or modify promotional pricing at any time. Promotional pricing applies only to the billing periods specified at the time of the offer; your subscription will automatically convert to the standard rate at the end of the promotional period.

Failed payments. If a scheduled payment fails, we may attempt reprocessing using updated card information on file and may suspend service until the balance is resolved. You remain responsible for all outstanding fees.

Cancellation. Cancel at any time through Account Settings or by emailing billing@cxovector.com. Cancellation takes effect at the end of your current paid period. We do not provide prorated refunds for partial billing periods except as required by law.

Refund policy. All fees are non-refundable. Billing error claims must be submitted within thirty (30) days of the charge date. Confirmed billing errors will be credited or refunded at our discretion.

Data after cancellation: Your profile, seen log, and brief history remain accessible for thirty (30) days following cancellation, then are permanently deleted. Reactivate any time during this window to restore your full history.
Section 05
Third-Party Content & Sources

Your brief contains job listings and information sourced from publicly accessible third-party websites. This content is owned by and originated with those third parties. We do not own, create, control, verify, endorse, or guarantee the accuracy of any third-party listing, company description, compensation figure, or other content in your brief.

Accuracy not guaranteed. Listings are retrieved at the time your brief is generated. We cannot guarantee that any listing is current, accurate, complete, or still available at time of delivery or thereafter. Compensation figures and other details are reproduced from source postings as-stated and are not independently verified.

Third-party links. Links to third-party platforms in your brief are provided for convenience only. We have no control over, and assume no responsibility for, any third-party website's content, accuracy, availability, broken links, or privacy practices.

Association compensation data. Where we reference IRS Form 990 filings for historical executive compensation data, such information reflects publicly filed documents that may be outdated or incomplete. All such data is for informational purposes only and users agree to independently verify all presented information separately.

Fraudulent listings. Fraudulent or deceptive listings may appear on third-party sources and may surface in your brief despite our best efforts. We are not responsible for any harm resulting from your interaction with such listings. Always verify the legitimacy of any opportunity before responding or sharing personal information.

Section 06
Third-Party Platform Terms & Source Network

Our service surfaces publicly indexed information. We do not log into, authenticate on, or circumvent access controls on any third-party platform. However, certain platforms whose content may be indexed by search engines — including but not limited to LinkedIn, Indeed, Glassdoor, and ZipRecruiter — maintain their own terms of service that may restrict commercial use of their publicly accessible content. We make no representation or warranty that our sourcing methods are compliant with the terms of service of every platform whose content may appear in your brief.

No platform affiliation. CXOV is not affiliated with, endorsed by, or partnered with LinkedIn, Indeed, Glassdoor, ZipRecruiter, or any other platform. References to these platforms are descriptive only.

Source availability. Our ability to surface listings from any particular source may change at any time based on platform technical changes, access restrictions, or policy decisions. We reserve the right to add, remove, or modify sources at any time without notice. No specific source is guaranteed to be included in any brief.

If you receive any legal notice related to content that appeared in your brief, contact us immediately at legal@cxovector.com. Do not respond or forward such notices on our behalf.
Section 07
Your Profile Data & Privacy

By submitting your profile, you grant The Brief a limited, non-exclusive, non-transferable license to use your Profile Data solely to generate and deliver your brief and improve the service. We do not sell your personal information to any third party. We do not share your identity, background, compensation parameters, or job search activity with employers, recruiters, staffing agencies, or data brokers.

We may use aggregated, de-identified, anonymized data to improve our matching algorithms and service. This data cannot reasonably identify you individually.

Your complete privacy rights and our full data practices are described in our Privacy Policy, incorporated herein by reference. In any conflict between these Terms and the Privacy Policy regarding data practices, the Privacy Policy governs.

Section 08
Profile Accuracy & User Representations

The quality of your brief depends directly on the accuracy of your profile. By submitting your profile, you represent and warrant that all information is truthful, accurate, and not misleading, and that you will update it promptly if your circumstances change materially.

Effect of inaccurate data. If your profile contains inaccurate or incomplete information, your brief may surface irrelevant opportunities. The Brief bears no liability for brief quality or relevance where inaccurate or incomplete profile data was provided by you. We have no obligation to verify any profile information you submit.

Section 09
Communications Consent

By creating an account and providing your email address, you consent to receive: (a) your weekly brief or alert notifications; (b) transactional communications necessary to administer your account, including receipts, billing notices, and security alerts; and (c) service notices including material updates to these Terms or the Privacy Policy.

With your separate consent, we may send optional product updates and feature announcements. You may opt out of optional communications at any time via the unsubscribe link in any such email or by contacting support@cxovector.com. Transactional communications cannot be opted out of while your account is active.

You represent that your registered email address is accurate, that you are authorized to receive communications at that address, and that you will maintain access to it during your subscription. We are not responsible for undelivered communications resulting from incorrect or inaccessible email addresses.

Section 10
Intellectual Property

SpinKorp LLC retains all right, title, and interest in the service, including our proprietary AI-powered matching methodology, scoring system, source network, brief format and design, software and algorithms, and all associated trademarks and brand elements ("CXOV IP").

Your subscription grants a limited, personal, non-exclusive, non-transferable, revocable license to access the service and view your brief solely for personal job search purposes during your active subscription. No other rights are granted.

You may not: reproduce or redistribute your brief; use brief content commercially; use our methodology or source network to build a competing service; reverse engineer any component of the service; scrape or extract data from the service by automated means; or remove any proprietary notices.

Section 11
Acceptable Use

You agree not to use the service: in violation of any applicable law; to provide false profile information; to share account access; to harass or harm any person; to attempt unauthorized system access; to transmit malware; to interfere with service performance; to circumvent security features; to disparage our business; or in any other manner prohibited by these Terms. We reserve the right to investigate suspected violations and take any action we deem appropriate, including account termination.

Section 12
Service Modifications, Availability & Discontinuation

We reserve the right, at any time and without prior notice, to modify any aspect of the service including the matching methodology, scoring criteria, source network, brief format, and delivery schedule; add or remove sources; temporarily suspend the service for maintenance or security; or permanently discontinue the service with thirty (30) days' advance notice to active subscribers. We shall not be liable for any modification, suspension, or discontinuation of the service. In the event of permanent discontinuation, we will provide a prorated refund of prepaid fees for the period following discontinuation.

Occasional brief delivery delays due to technical issues, third-party access restrictions, or high volume do not constitute a breach of these Terms and do not entitle you to a refund.
Section 13
Force Majeure

We shall not be liable for any delay or failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including: acts of God; internet or infrastructure outages; actions or access restrictions imposed by third-party platforms including job boards and recruiter sites; changes to third-party terms of service, robots.txt files, or technical access controls; government actions; cyberattacks or security incidents; pandemic or public health emergency; or any other cause rendering performance commercially impracticable.

If a force majeure event significantly disrupts service delivery for more than thirty (30) consecutive days, either party may terminate the affected subscription with a prorated refund of prepaid fees for the disrupted period.

Section 14
Disclaimers & No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, SpinKorp LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

Without limiting the foregoing, we do not warrant that: the service will be uninterrupted, timely, secure, or error-free; any defects will be corrected; listings in your brief are accurate, current, complete, or legitimate; the service will meet your requirements or expectations; your brief will contain any minimum number of listings or any listing from a specific source; or that use of the service will result in any employment interview, offer, or outcome.

Some jurisdictions do not allow exclusion of certain warranties. In such jurisdictions, exclusions apply to the fullest extent permitted by law.

Section 15
Limitation of Liability
EXCLUSION OF CONSEQUENTIAL DAMAGES. To the maximum extent permitted by applicable law, in no event shall SpinKorp LLC, its owners, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, revenue, data, career opportunities, or business — regardless of whether based on contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.

Specific exclusions. We are not liable for: any employment decision you make based on brief content; inaccurate, fraudulent, or outdated listings from third parties; missed opportunities not appearing in your brief; unauthorized access to your account or data; harm from interactions with employers or recruiters identified through your brief; brief delivery delays from platform restrictions or force majeure; or changes to the service, source network, or scoring methodology.

Aggregate liability cap. Our total cumulative liability to you for all claims arising from use of the service shall not exceed the greater of: (a) total subscription fees paid by you in the twelve (12) months preceding the claim, or (b) twenty-five U.S. dollars ($25.00).

Some jurisdictions do not permit certain liability exclusions or limitations. In such jurisdictions, our liability is limited to the greatest extent permitted by law. Nothing herein limits liability that cannot be limited under applicable law.

Section 16
Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless SpinKorp LLC and its owners, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the service in violation of these Terms; your violation of any applicable law or third-party right; any inaccurate or fraudulent information you provide; any employment decision you make based on your brief; any dispute between you and any employer, recruiter, or other third party; or your negligence or willful misconduct.

Section 17
Term & Termination

These Terms are effective from your first use of the service and continue until terminated. You may terminate at any time through Account Settings or by emailing billing@cxovector.com; Section 4 governs the financial consequences.

We may suspend or terminate your access, with or without notice, if you: violate any provision of these Terms; engage in fraudulent, abusive, or illegal activity; provide false information; fail to pay fees when due; or if termination is necessary to protect the service, other users, or third parties.

Upon termination: your license terminates immediately; you lose service access subject to the 30-day data retention period in Section 4; we have no obligation to deliver further briefs; and outstanding fees become immediately due. Termination for cause by us does not entitle you to any refund. If you hold an annual plan, termination does not entitle you to a refund of any prepaid fees for the remainder of the Annual Period, except as required by applicable law.

Survival. Sections 2, 10, 14, 15, 16, 18, and 19 survive termination of these Terms for any reason.

Section 18
Governing Law & Dispute Resolution

Governing law. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles, except where preempted by federal law.

Informal resolution first. Before initiating any formal proceeding, contact us at legal@cxovector.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. Unresolved disputes shall be submitted to final and binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in Virginia or by remote hearing. The arbitrator's award is final and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER. YOU AND CXOV EACH AGREE THAT DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable, the arbitration agreement in this section shall be null and void.

Exceptions. Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing herein prevents us from pursuing collection of fees owed.

Statute of limitations. Any claim arising from use of the service or these Terms must be brought within one (1) year of when the claim arose or be forever barred.

Section 19
General Provisions

Entire agreement. These Terms, together with our Privacy Policy and any additional applicable terms, constitute the entire agreement between you and CXOV regarding the service and supersede all prior agreements, understandings, and negotiations relating to the subject matter hereof.

Severability. If any provision of these Terms is found invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions continue in full force. The invalidity of one provision does not affect any other provision.

Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of The Brief to be effective. No waiver of a breach constitutes a waiver of any subsequent breach.

No third-party beneficiaries. These Terms are solely for the benefit of you and CXOV and create no third-party beneficiary rights.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, without your consent, provided the assignee assumes all obligations under these Terms.

Notices. Legal notices to us must be sent to legal@cxovector.com. We send notices to your registered email address. Notices are deemed received when sent, provided no delivery failure is received.

Updates to Terms. We may modify these Terms at any time with at least fourteen (14) days' advance notice of material changes. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before the effective date. Current Terms are always at cxovector.com/terms. Prior versions available upon request.

Headings. Section headings are for convenience only and shall not affect interpretation.
